Terms and Condition

I. Definitions:

• “Alliance Partner” shall mean “Provogue India Ltd”, who has entered into an Alliance Agreement with ICICI Bank for purpose of providing the Offer.
• “Customer(s)” for the purpose of this Offer shall mean ICICI Bank Net Banking User who is using ICICI Netbanking Service(s) and who has received communication from ICICI Bank with respect to the Offer. 
• “ICICI Bank Netbanking Service(s)” shall mean the internet banking services provided to ICICI Bank Net Banking User by ICICI Bank.
• “ICICI Bank Net Banking User” shall mean a person who holds an ICICI Bank savings account, loan / facility account(s), depository account(s) and/or any other type of account(s), so maintained with ICICI Bank or its Affiliate which are eligible account(s) for purposes of ICICI Bank Net Banking Service(s) and who has received communication from ICICI Bank with respect to the Offer. 
• “Offer” shall mean this offer under which the existing and new Customer(s) of ICICI Bank Limited (“ICICI Bank”) who use or apply for ICICI Bank Netbanking Services can get an opportunity to purchase Alliance Partner’s products at Website by paying handling charges during Program Period on carrying out transaction at Indian Railway Catering and Tourism Corporation (“IRCTC”) website (irctc.co.in).
• “Program Period” shall mean the period commencing from June 12, 2017 to March 31, 2018, both days inclusive.
• “Redemption Period” shall mean the period commencing from June 12, 2017 to March 31, 2018, both days inclusive.
• “Products/Services” shall mean the goods/benefits/facilities offered by the Alliance Partner.
• Primary Terms and Conditions" shall mean the terms and conditions applicable to the ICICI Bank Net Banking Service(s).
• “Website” shall mean the following website of the Alliance Partner i.e. www.provogue.com/icicinetbanking.
• “Void Transaction” shall mean any transaction wherein the transaction has taken place but has been cancelled /rejected /unsuccessful by Alliance Partner.
• All capitalized terms used but not defined herein shall have the respective meanings prescribed to them in the Primary Terms and Conditions. The terms described in this Terms and Conditions (“Terms”) shall be in addition to and not in derogation of the Primary Terms and Conditions. To the extent of any inconsistency between these Terms and Primary Terms and Conditions, these Terms shall prevail.

II. Offer:

• All Customer(s) transacting on IRCTC at irctc.co.in through ICICI Net Banking Services shall be entitled for the Offer. 
• The Customer(s) shall receive an e-mail communication in their registered e-mail id from ICICI Bank within 7 working days following the date of transaction carried out by the Customer(s) at irctc.co.in. The aforesaid communication shall have a unique code which can be used to avail the Offer (“Coupon Code”).
• The Customer(s) can follow the following steps to avail the Offer: 
  Customer has to Log on to Website;
• Insert Coupon Code at assigned field to enter as shared by ICICI Bank.
• Select the product as per given categories at the Website of the Alliance Partner.
• Once the Coupon Code is entered in the assigned field. The Coupon code shall be a one-time code which shall be valid till the success of the ICICI Bank Netbanking transaction, post which the code shall be rendered invalid. 
• Product selected by the ICICI Bank customer will be delivered by Alliance Partner to the Customer within 21 working days.
• Product will have to be redeemed by the customer in the Redemption Period. 
• The Offer is non-transferable, non-binding and non- en-cashable. 
• The Offer is not valid for Void Transactions.

III. Terms and Conditions as prescribed by Provogue

• Customer will have to pay handling charges as per assigned terms and conditions by Alliance Partner.
• Selected product shall be delivered to customer by Alliance Partner within 21 working days.
• Any person availing this Offer shall be deemed to have accepted these Terms and Conditions. 
• All disputes, if any, arising out of or in connection with or as a result of above offers or otherwise relating hereto shall be subject to the exclusive jurisdiction of the competent courts / tribunals in Mumbai only, irrespective of whether courts / tribunals in other areas have concurrent or similar jurisdiction. 
• Alliance Partner shall not be liable for any claims or grievances solely attributable to ICICI Bank Netbanking services of ICICI bank.

IV. Terms Prescribed by ICICI Bank

• This Offer is brought to ICICI Net Banking Customers solely by Alliance Partner. ICICI Bank is only communicating this Offer on behalf of Alliance Partner.
• ICICI Bank does not guarantee and make any representation about the usefulness, worthiness and/or character of the discount / benefit or of the Products/Services under the Offer provided by the Alliance Partner.
• The existence of a dispute, if any, regarding the Offer shall not constitute any claim against ICICI Bank and shall be addressed directly by Alliance Partner. In the event of any customer claims arising due to any acts and omission on the part of ICICI or claims or fraud related to the net banking, ICICI shall be liable to address such disputes.  
• All communication / notices with regard to the said claims attributable to Alliance Partner should be addressed to Provogue India Ltd., 105 / 106, Provogue house, off New Link Road , Andheri (W), Mumbai - 400 053.
• All issues / queries / complaints / grievances relating to the Offer, if any, shall be addressed to Alliance Partner directly at the below mentioned email id icici@provogue.com without any reference to ICICI Bank. The same shall be addressed by Alliance Partner within 15 working days of transaction.
• ICICI Bank reserves the right to disqualify the Alliance Partner/s or ICICI Bank net banking user from the benefits of the Program if any fraudulent activity is identified as being carried out for the purpose of availing the benefits under the Program or otherwise by use of the Card.
• ICICI Bank shall not be held liable for any delay or loss that may be caused in delivery of the goods and services or the assured gifts / prizes. 
• ICICI Bank shall not be liable in any manner whatsoever for any loss/ damage/ claim that may arise out of use or otherwise of any Product(s)/Service(s)/ discount/benefit availed by the ICICI Bank Net Banking Users under the Offer. 
• The Offer is not available wherever prohibited and / or on products / services for which such offers cannot be made available for any reason whatsoever.
• ICICI Bank and Alliance Partner together reserve the right to modify/ change or vary all of these terms and conditions or to replace, wholly or in part, this Offer by another offer, whether similar to this Offer or not, or to extend or withdraw it altogether without assigning any reasons or without any prior intimation whatsoever. ICICI Bank also reserves the right to discontinue the Offer without assigning any reasons or without any prior intimation whatsoever after the Program Period.
• If the ICICI Bank user ceases to be an ICICI customer at any time during the Program Period, then all the benefits under the Offer shall lapse and shall not be available to such ICICI Bank user.
