DEFINITIONS

• “Alliance Partner” shall mean “Xiaomi” who has entered into an alliance agreement with ICICI Bank for purpose of providing the Offer.
• ICICI Bank Credit and Debit card holders" shall mean a person who holds an ICICI Bank Savings account, loan / facility account(s), depository account(s) and/or any other type of account(s), so maintained with ICICI Bank or its Affiliate which are eligible account(s) for the purposes of ICICI Bank Credit and Debit card services and who has received communication from ICICI Bank with respect to the Offer.
• "Card" shall mean Credit card (VISA/ Mastercard/ Amex) or Debit card (VISA/Electron/Maestro), which has been issued by ICICI Bank and is valid and subsisting during the Program/Offer Period.
• “Offer” shall mean such discount(s) provided by ICICI Bank.
• "Primary Terms and Conditions" shall mean the terms and conditions applicable to the ICICI Bank’s banking facility/service.
• “Products/Services” shall mean the goods/ benefits/ facilities offered by the Alliance Partner.
• “Void Transaction” shall mean any transaction where in the transaction has taken place but has been cancelled/ rejected/ unsuccessful by the Alliance Partner.
• “Offer period” shall mean offer valid from 6 June, 2019 to 9 June, 2019

All capitalized terms used but not defined herein shall have the respective meanings prescribed to them in the Primary Terms and Conditions. These terms (“Terms”) shall be in addition to and not in derogation of the Primary Terms and Conditions. To the extent of any inconsistency between these Terms and Primary Terms and Conditions, these Terms shall prevail.

Terms and Conditions prescribed to ICICI Bank Card Holders:

• ICICI Bank holds out no warranty or makes no representation about the quality, delivery or otherwise of the goods and services offered by the Alliance Partner. Any dispute or claim regarding the services and must be resolved by the Card Holder/s with the alliance partner directly without any reference to ICICI Bank.
• ICICI Bank shall not be liable in any manner whatsoever for any loss/ damage/ claim that may arise out of use or otherwise of any products or services availed by the Card Holder/s under the alliance offered by the Alliance Partner.
• ICICI Bank reserves the right to disqualify the Alliance Partner or the Card Holder/s from the benefits of the Offer, if any fraudulent activity is identified as being carried out for the purpose of availing the benefits under the said Offer or otherwise by use of the Card.
• The Card Holder/s shall be bound by the terms and conditions stipulated by the Alliance Partner in this regard.
• The Offer is funded by ICICI Bank and the Card Holder/s shall be bound by the terms and conditions stipulated by ICICI Bank in this regard.
• No substitutions or exchange of Offer, other than what is detailed in the communication sent to the Card Holder/s shall be allowed. However, ICICI Bank reserves the right to substitute and/or change the Offer or any of them, without any intimation or notice, written or otherwise to the Card Holder/s.

Terms and Conditions prescribed by Xiaomi (Mi.com)

• This marketing program (“Offer”) is from ICICI Bank Limited (“Bank”) under an arrangement with M/s Xiaomi Technology India Private Limited (“Xiaomi”), and is open to all persons competent to contract in India holding a valid and current ICICI Bank Debit or Credit Card (“ICICI Bank Cardholder”).
• The validity of the Offer (“Offer Period”) is from 6 June, 2019 (00:00 hours) till 9 June, 2019 (23:59:59 hours), unless extended by the Bank and Xiaomi by mutual consent in writing.
• Under this Offer, ICCI Cardholders can avail, during the Offer Period, discount of Rupees Five Hundred only (INR 500) on purchase of eligible Redmi Y3 smartphones through the Amazon Authorized Channels and Mi Authorized Channels.
• The purchases can be made via:
  1. www.amazon.in, the related mobile website and mobile application (“Amazon Authorized Channel”); or
  2. www.mi.com, the related mobile website and mobile application (“Mi Authorized Channel”).
• Offer is not applicable on card on delivery transactions.
• Offer not applicable on ICICI Bank net banking transactions.

Other Terms and Conditions:

• The above Offer is by way of a special offer for ICICI Bank Cardholders only.
• The Offer can be availed only once per ICICI Bank card per Authorized Channel listed above.
• The Offer cannot be combined with any other offer.
• Any person availing this Offer shall be deemed to have accepted these terms and conditions.
• This Offer is valid for Indian residents and citizens only.
• Delinquent and over-limit ICICI Bank Cardholders will not qualify for this promotion.
• This Offer is non-encashable, non-extendable and non-negotiable.
• If an ICICI Bank Cardholder has more than 1 (one) ICICI Bank Credit/Debit Card, spends on the cards cannot be clubbed by the card member in order to qualify for the said Offer.
• In case, the ICICI Bank Cardholder holds more than 1(one) Credit/Debit Card with the Bank; the ICICI Bank Cardholder would need to call up the Bank’s customer call centre and confirm which card(s) the said Offer may be availed for.
• Any query regarding the Offer will be entertained only till 9 June, 2019 (23:59:59 hours). Any issue with the Offer will only be entertained only till 9 September, 2019 (23:59:59 hours). Post such dates, the Bank and Xiaomi will not entertain any correspondence or communication regarding this Offer from any persons.
• All the existing offers, gifts, discounts etc. that are being offered can be availed by the ICICI Bank Cardholders as part of this exclusive offer as mentioned in the communication.
• Pictures of products shown in the communication sent to the customer either through mailers or advertised on the website, are representative only and may not bear a resemblance to the actual products. None of the parties shall under any circumstances be responsible towards the same.
• Returned transactions, disputed or unauthorized/fraudulent transactions will not be considered for the Offer.
• All government levies and taxes shall be payable by the ICICI Bank Cardholder as applicable at the time the Offer is availed.
• ICICI Bank Cardholders are not bound in any way to participate in the Offer. Any such participation is voluntary.
• This Offer shall be subject to all applicable laws, rules and regulations which are in existence and which may be promulgated anytime by any statutory authority.
• Bank and Xiaomi reserve the right, at any time, without prior notice and without assigning any reason whatsoever, to add/alter/modify/change or vary all of these terms and conditions or to replace, wholly or in part, this offer by another offer, whether similar to this Offer or not, or to extend or withdraw it altogether.
• Any disputes arising out of the Offer shall be subject to the exclusive jurisdiction of the courts at Bangalore.
• The Bank along with its direct affiliates is alone responsible for resolving all disputes.
